Safeguard Desk does not warrant or make any representations regarding the use or the results of the use of the Service in terms of its correctness, accuracy, reliability, or otherwise.

- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
- Security breaches, data loss, or other cybersecurity incidents that occur despite implementation of recommendations from safeguarddesk.com
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT SAFEGUARD DESK HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL THE TOTAL LIABILITY OF SAFEGUARD DESK TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
9. Indemnification
You agree to defend, indemnify, and hold harmless Safeguard Desk, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service
- Your use of the Service, including but not limited to your User Content
- Your violation of any rights of another person or entity
- Your violation of any applicable laws or regulations
10. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
You and Safeguard Desk agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Safeguard Desk each waive any right to a jury trial.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by updating the "Effective Date" at the top of these Terms and, where appropriate, by posting a notice on safeguarddesk.com or sending you an email notification. Material changes will take effect thirty (30) days after they are posted or otherwise provided to you, except that changes addressing new functions of the Service or changes made for legal reasons will be effective immediately.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired, and such provision shall be deemed modified to the minimum extent necessary to make such provision valid, legal, and enforceable.
14. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices published by Safeguard Desk on the Service, constitute the entire agreement between you and Safeguard Desk concerning the Service and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Service.
